Share Capital

At the EGM on the 18th June 2007, a Share Split was approved to increase the number of authorised and issued ordinary shares.

Prior to the Share Split, the authorised share capital of the Company was £5,050,000 consisting of 500,000 Ordinary Shares and 50,000 redeemable preference shares of £1 each. The issued share capital was £1,575,730 consisting of 157,573 Ordinary Shares. The Share Split meant that each Ordinary Share both issued and unissued was divided into fifty New Ordinary Shares.

Following the share split and the acquisition of DM Technical Services Limited, the company had 126,058,400 Ordinary shares of 20p each in issue. During January 2008, the company purchased 56,525 shares.  In June 2009, the company purchased 7,918,689 shares.  The company now holds 7,975,214 shares in Treasury, with 118,083,186 shares trading on AIM.

At the AGM held on Tuesday 16 December 2008 the resolutions set out in the AGM notice were passed, which give the directors the power to purchase up to 12,000,000 shares in the company at no more than 105% of the average market price for the five preceeding business days.
